Terms of Service

These Terms of Service ("Terms") govern all contracts and services between ProTec Solutions GmbH ("Provider") and its customers. Deviating terms of the customer will not become part of the contract unless the Provider expressly agrees to them in writing.

1. Scope

These Terms apply to all offers, orders, contracts and deliveries of the Provider in the fields of mobile video surveillance, surveillance towers and connection to emergency and service monitoring centres.

Contracting parties are exclusively entrepreneurs within the meaning of § 14 of the German Civil Code (BGB), legal persons under public law or special funds under public law.

2. Formation of Contract

Offers made by the Provider are subject to change and non-binding unless expressly designated as binding.

A contract is concluded by the Provider's written order confirmation or by commencement of the service.

3. Scope of Services

The specific scope of services – such as number of surveillance towers, technical equipment, monitoring hours, response process and intervention services – results from the individual offer or the order confirmation.

The Provider is entitled to use carefully selected subcontractors to perform its services, in particular for 24/7 connection to a certified monitoring centre.

4. Customer's Duty to Cooperate

The customer shall provide a suitable installation site with lawful access, adequate visibility and – where agreed – power or network connectivity.

The customer shall ensure that all data protection and labour law requirements for video surveillance are met, in particular signage and information obligations towards data subjects.

Delays caused by the customer's failure to cooperate shall not be attributable to the Provider.

5. Prices and Payment Terms

All prices are stated in Euros and are subject to the applicable statutory value-added tax.

Unless agreed otherwise, invoices are payable without deduction within 14 days of the invoice date.

In the event of late payment, the Provider is entitled to charge default interest at the statutory rate and to assert further rights.

6. Contract Term and Termination

The term and notice period result from the respective individual contract.

The right to extraordinary termination for good cause remains unaffected.

7. Retention of Title

Rented equipment, in particular surveillance towers and camera technology, remains the property of the Provider.

The customer shall handle the equipment with care and protect it against unauthorised access and damage.

8. Liability

The Provider is liable without limitation for intent and gross negligence as well as for damage arising from injury to life, body or health.

For slight negligence, the Provider is liable only in the event of a breach of material contractual obligations and limited to the foreseeable damage typical for the contract.

Video surveillance does not constitute a guarantee for the prevention of criminal acts. Liability for the absence of damage on the monitored site is excluded.

9. Data Protection

The Provider processes personal data in accordance with the GDPR and the German Federal Data Protection Act (BDSG). Details are set out in the Privacy Policy.

Where necessary, the parties shall conclude a separate data processing agreement (DPA) pursuant to Art. 28 GDPR.

10. Final Provisions

The laws of the Federal Republic of Germany apply, excluding the UN Convention on Contracts for the International Sale of Goods.

The exclusive place of jurisdiction for all disputes arising from or in connection with this contractual relationship shall – to the extent legally permissible – be Berlin.

Should individual provisions of these Terms be or become invalid, the validity of the remaining provisions shall remain unaffected.
